Spacelift Intelligence Terms of Use (AI Addendum)

By enabling Spacelift Intelligence, you confirm that you have read, understood, and accepted these AI Terms on behalf of your organization, and that you are duly authorized to do so. If the Customer does not agree with all the terms of these AI Terms, the Customer should not accept the Terms and use the AI Features.

THESE AI TERMS, TOGETHER WITH THE AGREEMENT SET FORTH AND SETTLE THE TERMS ACCORDING TO WHICH THE CUSTOMER MAY USE THE AI FEATURES.

1. What is Spacelift Intelligence?

   Spacelift Intelligence is a collection of AI-powered features within the Spacelift platform, designed to help DevOps and Platform Engineering teams design, provision, troubleshoot, and monitor infrastructure through natural language interaction. Spacelift Intelligence may include, but is not limited to, features such as Intent, Run Summarization, and Infra Assistant ("AI Features" or "Spacelift Intelligence").

   Spacelift Intelligence is disabled by default. A Customer admin may enable it for their organization by explicitly opting in and accepting these Terms.

   Use of Spacelift Intelligence is entirely optional. Spacelift's core platform may be used without enabling any AI Features.

2. Acceptance of Terms

   These Terms of Use ("AI Terms") supplement and are incorporated by reference into the any written agreement and/or general Terms and Conditions available at https://docs.spacelift.io/legal/terms between Spacelift, Inc. ("Spacelift") and the customer entity or individual ("Customer") (the "Agreement").

   In the event of a conflict between the Agreement and these AI Terms with respect to Spacelift Intelligence, these AI Terms shall govern.

3. AI Model Providers

   Spacelift Intelligence supports two modes of AI model access.

   Spacelift-hosted AI. Spacelift provides access to AI models hosted and managed by Spacelift, powered by third-party providers. Spacelift Intelligence is powered by third-party AI models ("AI Model Providers"). Current providers include:

   Use of Spacelift-hosted AI consumes Spacelift credits and is subject to usage limits as communicated by Spacelift from time to time. Spacelift may update or change AI Model Providers at its discretion and without prior notice. By using Spacelift-hosted AI, Customer agrees to comply with the applicable terms of the relevant AI Model Provider(s).

   Bring Your Own Model (BYOM). Customer may connect its own LLM provider and use it within the Spacelift platform. When using BYOM, Customer's data is processed by the Customer's chosen provider, and the applicable terms of that provider govern such processing. Spacelift has no control over, and accepts no responsibility for, the performance, availability, security, or compliance of any Customer-provided model or its underlying provider. Customer is solely responsible for ensuring that its use of any third-party model complies with applicable laws, regulations, and the terms of the relevant provider. Without limiting any indemnification obligations under the Agreement, Customer shall defend, indemnify, and hold harmless Spacelift from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Customer's use of a Customer-provided model, including any breach of the applicable third-party provider's terms or applicable law.

   In either mode, Spacelift does not control or guarantee the performance of the underlying AI models.

4. Pricing and Access

   Spacelift Intelligence is currently provided free of charge. Spacelift reserves the right to introduce fees for Spacelift Intelligence, or any part thereof, at any time. If Spacelift decides to charge for Spacelift Intelligence, it will provide reasonable prior notice to existing Customers. Free access does not guarantee free access in the future and creates no obligation on Spacelift to continue providing the feature at no cost.

   Access to Spacelift Intelligence is at Spacelift's sole discretion and may be modified, suspended, or discontinued at any time, with or without prior notice.

5. Data Use and Privacy

   Customer Data submitted through Spacelift Intelligence is processed solely to deliver the requested AI Features, in accordance with Spacelift's Privacy Policy and/or executed DPA between Parties and applicable data protection laws. Where Customer uses Spacelift-hosted AI, Spacelift does not use Customer Data to train or improve AI models and does not permit its AI Model Providers to use Customer Data for that purpose. Where Customer uses BYOM, data processing is governed by the terms of the Customer's chosen provider, and Spacelift has no control over, and no responsibility for, the data practices of that provider. Customer retains full ownership of all Customer Data at all times.

6. Acceptable Use

   The restrictions in this Section supplement the acceptable use obligations in the Agreement. In the event of conflict, the more restrictive provision applies.

   Customer shall use Spacelift Intelligence solely in connection with infrastructure-as-code configurations, templates, policies, and related management activities. Customer shall not input or process any sensitive data through Spacelift Intelligence, including personally identifiable information (PII), protected health information (PHI), biometric data, payment card data, authentication credentials, or any other data subject to specific legal or regulatory protection. Customer shall not use Spacelift Intelligence for any purpose prohibited under applicable law or regulation, including applicable AI regulations such as the EU AI Act, nor in any manner that would constitute a prohibited or high-risk AI use case thereunder. Customer shall not reverse engineer the underlying AI models, generate abusive requests that degrade service performance, or use Spacelift Intelligence for competitive analysis or development of competing products.

   Customer is responsible for ensuring that all authorized users within its organization comply with these AI Terms.

7. Intellectual Property

   Spacelift and its AI Model Providers retain all intellectual property rights in and to Spacelift Intelligence, including the underlying models, algorithms, and infrastructure. Nothing in these AI Terms transfers any such rights to Customer. Spacelift grants Customer a limited, non-exclusive, non-transferable, revocable right to use Spacelift Intelligence solely for Customer's internal business purposes, subject to the Agreement and these AI Terms. Any feedback, suggestions, or ideas provided by Customer regarding Spacelift Intelligence may be used by Spacelift freely and without restriction or compensation.

8. Accuracy and Customer Responsibility

   AI-generated outputs are provided on an "as-is" basis. Spacelift does not warrant that outputs will be accurate, complete, or fit for any particular purpose. AI models may generate inaccurate, incomplete, or misleading content. Customer is solely responsible for reviewing, validating, and acting upon any AI-generated content, recommendations, or configurations prior to implementation. Spacelift does not claim any ownership, intellectual property rights, or proprietary interest in any outputs generated through Customer's use of the AI Features.

9. Warranties and Liability

   All disclaimers of warranties and limitations of liability set out in the Agreement apply equally to Spacelift Intelligence and its outputs. To the extent not addressed in the Agreement, Spacelift Intelligence is provided "as is" and "as available" without warranties of any kind, express or implied.

10. General

    These AI Terms are governed by the same governing law and jurisdiction as the Agreement. If any provision of these AI Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. Spacelift may update these AI Terms from time to time; continued use of Spacelift Intelligence following such updates constitutes acceptance of the revised terms.
